"I am sorry to hear of your loss. If there is anything I can do for you, please let me know." That's it. The rest is not so much what you say, but what you do. Sometimes, just a call to say hello or check on him or sometimes to talk about something other than the loss. At times, some people just want to be left alone. I would not keep saying "i'm sorry" as it becomes irritating after a while. Just be a support system for him if he wants it. If not, give him space to grieve.

Have you ever had a loved one die ? You should try to relate your story to hers/his and see what you wanted when you were in that position.
If I were her/him I would most likely just want someone to sit with me, not saying anything. You could not believe how much just a presence of someone who cares means when you lose someone close.

"My condolences"or "My deepest sympathy". Then say that you're there for him/her if he/she wants to talk.
