Is this sentence grammatically correct?

As he didn't have a car, his friend agreed to let him use hers, which he saw was very old and perhaps about to break down.

    It is grammatically correct. I think the sentence is too long. You could write two or three sentences.  

    He didn't have a car, so his friend let him use hers. The car was very old. He thought it would break down.

    That is grammatically correct, and reasonable in style, though possibly slightly formal.
